Valuation

Determine the company's economic value.

Valuation is a crucial step at all key moments in the life of a company, whether :

  • determine the price of a target in the context of an acquisition;
  • estimate a reference value in the context of a business sale or transfer;
  • assess the value of intangible assets (goodwill, trademarks, leasehold rights, etc.);
  • assess the value of assets as part of the financial statements;
  • allocate the purchase price in a business combination ;
  • or to enhance the value of a start-up as part of a fund-raising operation.
The Exco Valliance Group

Valuation is fundamental, as it is important to understand and know the fair value of assets. The challenge for companies is to be able to understand the impacts in order to make the right strategic decisions in the conduct of their business.

But value is more than just numbers. In fact, business valuation is a profession that deals with complex issues involving several areas of expertise.

It requires an analysis of the market and strategic issues, a financial and operational diagnosis of the company, and the application of financial techniques and valuation methods adapted to the company's context.

For this reason, it is essential for the business owner to enlist the support of a business valuation specialist who can suggest solutions to help him make the right decisions.

The different contexts of business valuation

  • The different contexts of business valuation
  • regulatory valuations: i.e. those imposed by the application of accounting or legal standards (determination of value as part of a merger, contribution audit, impairment tests, etc.);
  • contentious or judicial assessment, which concerns both disputes between private individuals and disputes between taxpayers and the tax authorities.

The business valuation mission

The company valuation mission is a diagnostic and evaluation mission that takes place in several stages, involving in particular :

  • an in-depth analysis of the company's strategic environment and its key success factors, in order to identify its strengths and weaknesses;
  • an in-depth examination of the business plan in correlation with the strategic analysis;
  • the use of financial techniques and valuation methods such as anological approaches (transactional, sector or stock market multiples), intra-mechanical approaches (DCF), etc. to determine a valuation range for the company.

At the end of this diagnosis, the valuation mission results in a report sent to the addressees to enable them to determine a range of reference values and to engage in possible negotiation.

The 4-step assessment process

1. General introduction to the company

Identify the context and objectives of the mission, Determine the most important characteristics of the company

2. Strategic analysis and diagnosis of all functions
